By accessing prolusio.ai, creating an account, purchasing or using a Prolusio service, initiating a reference check, or participating in a reference check, you agree to these Terms.
If you do not agree with these Terms, you should not use the Prolusio platform or services.
Prolusio provides technology and services designed to facilitate professional reference checking.
The platform may allow users to initiate reference checks, submit candidate and reference information, collect responses from references and generate reference reports.
Prolusio provides tools and information to assist hiring and recruitment processes. Prolusio does not make employment or hiring decisions on behalf of its customers.
You may only use Prolusio if you are legally capable of entering into a binding agreement.
If you use Prolusio on behalf of a company, employer, recruitment agency or other organisation, you confirm that you have authority to act on behalf of that organisation and bind it to these Terms where applicable.
Certain Prolusio services require an account.
When creating or using an account, you agree to:
Provide accurate and current information
Keep your account information up to date
Keep your password and login credentials confidential
Take reasonable steps to prevent unauthorised access
Notify Prolusio if you become aware of unauthorised use of your account
You are responsible for activities performed through your account unless caused by circumstances for which Prolusio is legally responsible.
We reserve the right to suspend or restrict accounts that we reasonably believe are being used fraudulently, unlawfully or in violation of these Terms.
You may use Prolusio only for lawful professional, recruitment, employment and reference-checking purposes.
You agree not to:
Use Prolusio for unlawful, fraudulent or discriminatory purposes
Submit information you know to be false or misleading
Impersonate another person
Obtain or submit personal information without appropriate authority or lawful grounds
Attempt to gain unauthorised access to the platform or another user’s account
Interfere with the operation or security of the platform
Introduce malicious software, code or other harmful material
Scrape, harvest or systematically extract information from the platform without permission
Reverse engineer, copy or attempt to reproduce the platform except where permitted by law
Resell or commercially exploit the service except under an agreement with Prolusio
Use Prolusio in a manner that infringes the rights of another person
Customers initiating reference checks are responsible for ensuring that their use of Prolusio complies with applicable employment, privacy, data-protection and anti-discrimination laws.
Where required, customers are responsible for obtaining appropriate consent or establishing another lawful basis before submitting candidate or reference information to Prolusio.
Customers remain responsible for their hiring, recruitment and employment decisions.
Prolusio should be used as one source of information within an appropriate recruitment or due-diligence process and should not be treated as the sole basis for a significant employment decision.
Users must provide information honestly and in good faith.
References are responsible for the content of the information, opinions, ratings and statements they submit.
Candidates and customers must not knowingly provide false or misleading information about references or other individuals.
Prolusio may take reasonable steps to detect suspicious, fraudulent or misleading activity but does not guarantee the identity, accuracy or completeness of every person, statement or response submitted through the platform.
Reference reports generated through Prolusio may contain information and opinions supplied by third parties.
Unless expressly stated otherwise, Prolusio does not independently verify every statement contained in a reference response or report.
Reports are provided to assist customers with their recruitment or employment processes and should be interpreted together with other relevant information.
Customers remain responsible for evaluating the information and making their own decisions.
Certain Prolusio features may use artificial intelligence, automated processing or other technologies to assist with organising, analysing, summarising or presenting information.
Automated outputs may occasionally contain errors or require interpretation.
Users should apply appropriate professional judgement when relying on generated reports, summaries or other automated outputs, particularly when making decisions that may materially affect another person.
Prolusio does not guarantee that automated or AI-generated outputs will be error-free.
Certain Prolusio services require payment.
Pricing, package inclusions and applicable fees will be displayed on the website, platform or applicable quotation or agreement.
Unless otherwise stated:
Fees are payable before or when the relevant service is provided
Prices may change from time to time
Changes to pricing will not retrospectively alter completed purchases
Taxes or similar charges may be added where applicable
Enterprise customers may be subject to separate commercial terms agreed directly with Prolusio.
Where a separate written agreement conflicts with these Terms, the separate agreement will take precedence to the extent of that conflict.
Refund eligibility, where applicable, will depend on the circumstances of the purchase and whether the relevant reference-checking service has already commenced.
Once a reference check has been initiated, reference invitations have been issued, or processing has begun, fees may be non-refundable to the extent permitted by applicable law.
Nothing in these Terms limits any mandatory consumer rights that cannot legally be excluded.
The Prolusio platform, website, software, branding, designs, processes, databases and associated materials are owned by or licensed to Prolusio and are protected by applicable intellectual-property laws.
Except for the limited right to use the platform in accordance with these Terms, no ownership rights are transferred to users.
You may not reproduce, modify, distribute, sell, license or create derivative works from Prolusio’s intellectual property without prior written permission, except where permitted by law.
You retain any rights you hold in information or content you lawfully submit to Prolusio.
You grant Prolusio the rights reasonably necessary to host, process, store, transmit and otherwise use that information for the purpose of providing and improving the services, complying with legal obligations and maintaining the security of the platform.
You confirm that you have the necessary rights or authority to submit information you provide to Prolusio.
Our collection and processing of personal information is governed by our Privacy Policy.
By using Prolusio, you acknowledge that personal information will be processed as described in that policy.
We aim to provide a reliable and secure service but do not guarantee uninterrupted or error-free availability.
The platform may occasionally be unavailable due to:

Events outside our reasonable control

Prolusio does not guarantee that:
A reference will respond
A reference will respond within a particular timeframe
Information supplied by a reference will be accurate or complete
A candidate will be suitable for a particular role
Use of the platform will result in a successful hire
A particular employment or recruitment outcome will occur
Reference checks are one component of a broader recruitment and decision-making process.
To the maximum extent permitted by applicable law, Prolusio provides its services on an “as available” basis.
While we take reasonable steps to provide accurate and reliable services, information obtained through professional references is inherently dependent on information supplied by third parties.
Prolusio therefore cannot guarantee the truth, accuracy, completeness or reliability of every reference response.
Nothing in these Terms excludes warranties, rights or protections that cannot lawfully be excluded.
To the maximum extent permitted by applicable law, Prolusio will not be liable for indirect, incidental, special or consequential losses arising from the use of or inability to use the platform, including loss of profits, revenue, business opportunities or data.
Prolusio will not be responsible for employment, recruitment or other decisions made by customers based on information obtained through the platform.
Where liability cannot legally be excluded, Prolusio’s liability will be limited to the maximum extent permitted by applicable law.
To the extent permitted by law, you agree to indemnify Prolusio against claims, losses or reasonable costs arising directly from:
Your unlawful use of the platform
Information you knowingly submit without appropriate authority
Your material breach of these Terms
Your infringement of another person’s rights
This provision does not apply to the extent that a claim or loss was caused by Prolusio’s own unlawful conduct.
We may suspend or terminate access to Prolusio where we reasonably believe:
These Terms have been materially breached
The platform is being used unlawfully or fraudulently
An account presents a security risk
Suspension is necessary to protect Prolusio, its users or third parties
We are legally required to do so
Users may stop using Prolusio at any time.
Termination does not affect rights or obligations that arose before termination.
We may update these Terms periodically to reflect changes to our services, technology, business practices or legal requirements.
The latest version will be published on our website with the updated effective date.
Where changes are material, we may provide additional notice where appropriate.
Continued use of the service following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.
These Terms will be governed by the laws applicable to the legal entity operating Prolusio, subject to any mandatory rights or protections available to users under applicable local law.
Any disputes will be subject to the jurisdiction specified by Prolusio’s applicable corporate or customer agreement.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A failure by Prolusio to enforce a provision does not constitute a waiver of that provision.
These Terms, together with the Privacy Policy and any applicable customer or enterprise agreement, constitute the agreement governing use of the Prolusio services.
